Terms of Service | Paraison AI

1. Acceptance

These Terms of Service ("Terms") govern your access to and use of the paraison.io website and any subdomains, marketing assets, and the public-facing portions of the Paraison AI Agent Control Plane administrative console at console.paraison.io (collectively, the "Site"). The Site is operated by Paraison AI LLC ("Paraison AI," "we," "our," or "us").

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Customers and Authorized Users. If you access the Service under a Master Service Agreement (MSA) signed by your employer, your use of the Service is governed by that MSA and its exhibits, not by these Terms. These Terms govern only your interaction with the public Site.

2. Eligibility

You must be at least 18 years old to use the Site. By using the Site, you represent that you are of legal age to form a binding contract.

3. Accounts

Some areas of the Site (e.g., console.paraison.io) require an account. You are responsible for:

keeping your credentials confidential;
all activity that occurs under your account; and
notifying us promptly at security@paraison.io of any unauthorized use.

We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used to abuse the Site or other users.

4. Use of the Site

You may use the Site only for lawful business purposes and in compliance with these Terms and applicable law. You will not:

interfere with, disrupt, or circumvent the security or performance of the Site;
attempt to access portions of the Site that are not made publicly available, including by probing, scanning, or testing vulnerabilities;
scrape, harvest, or systematically extract content or data from the Site, except for narrow purposes permitted by robots.txt, llms.txt, or other published machine-readable directives;
use the Site to send unsolicited communications, spam, or marketing in violation of CAN-SPAM, TCPA, GDPR ePrivacy, or similar laws;
reverse-engineer, decompile, or disassemble any software used to deliver the Site, except to the extent permitted by mandatory law;
use the Site or any of its outputs (including the ROI calculator's output, sales materials, demo content, or model outputs) to train, fine-tune, or improve a competing product, service, or model without our prior written consent;
misrepresent your identity, affiliation, or the nature of your inquiry; or
use the Site in violation of any law, regulation, or third-party right.

5. Intellectual Property

5.1 Our Content

The Site, including its text, graphics, logos, layouts, source code, model outputs, and architectural diagrams, is owned by Paraison AI and is protected by copyright and other applicable laws. "Paraison AI", "Agent Control Plane", and "ACP" are product names used by us in commerce; the logo and brand palette are protected by copyright.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your internal evaluation and information purposes. All other rights are reserved.

5.2 Your Content

If you submit content to the Site — for example, by emailing us or scheduling a meeting — you grant us a worldwide, non-exclusive, royalty-free license to use, store, copy, and process that content for the purpose of responding to you, providing requested information, and operating the Site. You represent that you have the right to grant this license.

5.3 Feedback

If you send us comments, suggestions, or other feedback about the Site or the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

6. Third-Party Links and Services

The Site may link to third-party websites or services (for example, our LinkedIn page, Calendly scheduling, our GitHub organization, our Google Business Profile listing). We are not responsible for the content, accuracy, or practices of those third-party sites, and your use of them is governed by their terms.

7. Demo, ROI Calculator, and Sample Outputs

(a) The ROI calculator at paraison.io/roi produces illustrative estimates based on the inputs you provide and Paraison AI's published assumptions. It does not constitute a binding offer, professional advice, or a guarantee of results.

(b) The "Live Decision Feed" or similar demo content shown on marketing pages is representative rather than a live data feed from a customer environment, except where explicitly labeled as live.

(c) Sample content describing ticket-routing decisions, accuracy metrics, and customer outcomes is based on Paraison AI's internal paraison_internal tenant and benchmark runs.

8. Disclaimers

The Site is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Site will be uninterrupted, error-free, or free from harmful components, or that any defects will be corrected.

Nothing on the Site constitutes legal, financial, or tax advice.

9. Limitation of Liability

To the fullest extent permitted by law, in no event will Paraison AI be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to your use of the Site.

Our total cumulative liability arising out of or relating to these Terms or your use of the Site will not exceed USD 100.

These limitations apply even if any remedy fails of its essential purpose.

If you are a customer using the Service under an MSA, the liability provisions of the MSA — not this Section — govern your use of the Service.

10. Indemnification

You will defend, indemnify, and hold harmless Paraison AI, its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable attorney fees) arising out of (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any third-party right.

11. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Sections 5, 7, 8, 9, 10, and 12 survive termination.

12. Governing Law and Venue

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Bergen County, New Jersey, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time by posting the updated Terms with a revised "Last Updated" date. Material changes will be communicated by additional notice where appropriate. Your continued use of the Site after the effective date constitutes acceptance.

14. Miscellaneous

(a) Entire agreement. These Terms (together with the Privacy Policy and any other policies incorporated by reference) are the entire agreement between you and Paraison AI regarding the Site, and supersede prior or contemporaneous communications on the same subject.

(b) No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

(c) Severability. If any provision is held unenforceable, the remaining provisions remain in full force.

(d) Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all our assets.
